Activist Ancora on Thursday won the support of the BMWED Teamsters in the investor's efforts to oust Norfolk Southern CEO Alan Shaw and a majority of the railroad's 13-person board. The labor group said it would back the activist's seven director nominees over Norfolk Southern management, a significant endorsement in an industry unusually dependent on union support. The support from the BMWED Teamsters, whose members build and maintain the track infrastructure that keeps Norfolk Southern trains moving, amounts to a sharp rebuke of Shaw and Norfolk Southern's board. Norfolk Southern and Ancora have been locked in a proxy contest for several months. Neuberger Berman, for example, is backing the activist and said that Norfolk Southern had a history of poor governance and that a boardroom change was needed.

Anne Neuberger, Deputy National Security Advisor for Cyber and Emerging Technology, cited President Biden's signing in February of an executive order to strengthen the cybersecurity of U.S. ports . The nation's port system is the main point of entry for trade, employs 31 million people, and generates over $5.4 trillion for the U.S. economy. One of the key areas of concern for the Biden administration and the executive order is the security of Chinese-manufactured cranes. Biden administration officials recently warned the nation's governors about the threat to water systems. From late October through March, the S&P 500 enjoyed a virtually uninterrupted 27.6% rally based on better-than-expected earnings and economic data. Read preview2008's housing crash might be long over, but Steve Eisman is not done looking for the next big macro trade. The investor — famous for his subprime mortgage bet, as documented in "The Big Short" — is now eyeing infrastructure as biggest winner of today's conditions. "You take all four of those boxes, and you turbocharge them by the fact that the United States has not had an industrial policy in anyone's lifetime," Eisman said. While Eisman believes in AI and infrastructure, he has no faith in crypto's potential, he said.

Steve Eisman of "The Big Short" fame has been bullish on infrastructure stocks after studying the industry for the past two years, and here are the companies he likes the most. Eisman, senior portfolio manager at Neuberger Berman, said he has narrowed the universe of investable stocks to 80 stocks. The stocks Eisman passed up included residential solar companies, which already had a great run during the Covid-19 pandemic as major beneficiaries of zero interest rates. Instead, Eisman likes solar panel companies that sell to utilities, which he said are doing well from a fundamental perspective. CRH 1Y mountain CRH PLC Eisman shot to fame by betting against subprime mortgage loans before the 2008 financial crisis, as chronicled in Michael Lewis' "The Big Short" and the subsequent Oscar-winning movie based on the book.

Last month, Norfolk Southern hired Orr away from rival CPKC, paying tens of millions of dollars to buy him out of his contract. A witness told the arbitrator that, in one instance, Orr told the employee that she "was so f------ stupid it was embarrassing." Prior to the announced hiring of Orr, Ancora drew attention to claims about his behavior in emails to two Norfolk Southern board members that CNBC obtained. Norfolk Southern told CNBC in a statement that Ancora's analysis of the value of the route — the Meridian Speedway agreement — "is completely inaccurate and based on a flawed premise," in that it assumes Norfolk Southern is forgoing more revenue than it actually is. Regarding Orr, Norfolk Southern said he has a "track record of improving performance while operating safely and with integrity."

Trian claims Disney's board has failed to generate sufficient returns in recent years as subscription streaming losses have mounted and traditional TV subscribers have declined. Early vote countBoth Disney and Trian received support from influential shareholders ahead of Wednesday's meeting. Roughly one-third of Disney's shareholders are retail shareholders, who historically vote in small numbers in annual meetings. The arrangement still raised questions about ValueAct's support for the company and whether Disney's board should have disclosed the prior relationship. Disney's largest shareholder, index fund manager Vanguard, plans to support management over Nelson Peltz's Trian Partners in Wednesday's board vote, Bloomberg News reported Tuesday, citing unnamed people familiar with the matter. Vanguard owns 7.8% of Disney shares. BlackRock , Disney's second -largest shareholder with 4.2% of shares, is also supporting the incumbent board and CEO Bob Iger, The Wall Street Journal reported Monday. The reporting on how Disney's largest shareholders are supposedly voting prompted harsh criticism from one-time shareholder activist Bill Ackman on Tuesday evening. Through an arrangement with former Marvel Chairman Ike Perlmutter, Trian controls 1.8% of Disney shares, making it the fifth largest shareholder.

In 2015, Nelson Peltz's Trian Partners was defeated in an activist campaign against chemical firm DuPont , largely because the top three institutional shareholders voted against his slate. Nearly a decade later, those same institutional investors — Vanguard, State Street and BlackRock — are the three largest shareholders in Disney . Former Marvel chairman Ike Perlmutter has entrusted Peltz with his 33 million Disney shares, the bulk of the activist's 1.8% stake. Vanguard is the largest holder with 8% of outstanding Disney shares. In 2021, for example, 63% of Disney shareholders voted their shares, according to data analyzed by 13D Monitor.

Two competing slates of board seats are now up for a vote against Disney’s. Peltz has criticized Disney’s recent theatrical flops and said the company should reach “Netflix-like margins” with its Disney+ streaming service, among other issues. If Peltz is successful, he and Rasulo could gain up to two seats on the board, displacing Disney’s picks. More than 35% of Disney’s shares are held by these individuals, who could seriously sway the vote. The influential advisory firms Institutional Shareholder Service and Egan-Jones have also thrown their support behind Peltz for at least one seat on the board.

If the Federal Reserve follows through on plans to lower interest rates it could lead to a stock market bubble, in the view of Neuberger Berman portfolio manager Steve Eisman. The central bank last month penciled in three potential quarter percentage point rate cuts by the end of 2023, along with multiple other cuts coming in future years. I personally think there should be no Fed cuts this year," he said during an interview on CNBC's " Squawk Box ." My actual fear is that if the Fed were actually to cut rates, the market becomes bubblicious and then we have a real problem. Markets in fact have grown nervous this week as hopes have waned for rate cuts.

FCC cracks down on cable TV ‘junk fees’
  + stars: | 2024-03-14 | by ( Brian Fung | ) edition.cnn.com   time to read: +9 min
The new junk fees rule requires cable and satellite TV companies to list “all-in” prices to consumers in their billing and marketing materials — including any miscellaneous fees, such as those related to sports programming or local broadcast channels. Between 24% and 33% of the typical consumer’s bill can be attributed to fees, consumer advocates told the FCC. In a separate move last year, the FCC proposed banning certain cable fees altogether, including early termination fees that the agency says hinder competition and prevent customers from easily switching providers. Mending the digital divideIn addition to cable, the FCC also addressed internet availability during its Thursday meeting. Defining high-speed internetThe report also reflects newly adopted revisions in how the country defines high-speed internet, which the FCC voted to approve on Thursday.

Criteo operates across three segments – marketing solutions, retail media, and Iponweb – but generated 83% of its $1.95 billion of revenue in 2023 from the marketing solutions segment. To many in the investor community, this was the death knell for cookies leading to uncertainty for Criteo's largest segment. Additionally, the company's retail media segment is a very appealing and growing business using software as a service for e-commerce companies.
